Nazara’s New Leadership: Raymond Stauffer Takes the Helm

In a significant move, Nazara Technologies has appointed Raymond A Stauffer as its new Chief Executive Officer (CEO). The decision comes as the company is revamping its proposed acquisition of Bluetile and BestPlay into a $303 million all-cash deal. As part of the restructuring, founder Nitish Mittersain will step down as CEO on September 1, subject to regulatory approvals, and assume the role of Managing Director, focusing on long-term strategy, portfolio management, and key partnerships.

A New Era of Leadership

Raymond Stauffer, the founder of Bluetile and BestPlay, will oversee Nazara’s day-to-day operations, including the integration of its portfolio companies and collaboration across product development, artificial intelligence, data, user acquisition, and monetization. Stauffer’s appointment marks a new era of leadership for Nazara, bringing with him deep international operating experience.

The Acquisition Deal: A Simplified Structure

The proposed acquisition of 100% of Bluetile and BestPlay will be structured as an all-cash deal, with Nazara paying a fixed consideration of $303 million. The payment will be made in two tranches: $89 million at the first closing, with the remaining $214 million to be paid in agreed instalments by April 1, 2027. The revised deal removes the stock component, future valuation uncertainty, and shared ownership, providing a clearer and more stable financial structure for the company.

Financial Performance: A Mixed Bag

Nazara’s financial performance for the June quarter showed a mixed bag of results. The company reported a net loss of Rs 82.47 crore, compared to a profit of Rs 51.34 crore in the same quarter last year. Total income declined by 24% to Rs 437.55 crore from Rs 575.87 crore. However, the company’s core gaming revenue rose 14% to Rs 275 crore, with an operating profit of Rs 54 crore and a margin of 19.5%. Fusebox, Kiddopia, and Animal Jam all reported revenue growth during the quarter.

The Acquisition: A Strategic Move

The acquisition of Bluetile and BestPlay is a strategic move by Nazara to strengthen its position in the gaming industry. The two companies reported revenue of Rs 518 crore and operating profit of Rs 55 crore in the June quarter. Nazara expects to consolidate their financial performance from the September quarter, subject to the completion of the acquisition.

Nitish Mittersain, founder of Nazara, expressed his confidence in the new leadership structure, saying, “Having led the company through two distinct phases of its evolution, I believe this is the right time to strengthen its leadership structure with a dedicated CEO who brings deep international operating experience.” The appointment of Raymond Stauffer marks a new chapter in Nazara’s journey, and the company is poised to continue its growth trajectory under the new leadership.
